Stephen G. Roman
Chairman, President, CEO, Director and Member of the Audit Committee
Mr. Roman is an entrepreneur/financier who has been involved in the resource industry over the past 30 years and has successfully identified, financed, developed, and brought into commercial production a number of mining and oil and gas projects. His past experience includes acting as a director and senior officer of Denison Mines Limited (TSX), Lawson Mardon Group (TSX), and Zemex Corporation (NYSE). He also worked to modernize Canada’s Armed Forces in 1984/85 as Policy Adviser to the Minister of National Defence. In addition, Mr. Roman spearheaded the privatization of two major petrochemical companies in Central Europe and was appointed Chairman of Novácke Chemické Závody, a.s., in 2002.
In recent years, Mr. Roman’s focus has been to finance and develop emerging junior, publicly-listed companies, which include: Gold Eagle Mines Ltd. (TSX), Exall Energy Corporation (TSX), Polar Star Mining Corporation (TSX-V), Silvermet Inc. (TSX-V), Verena Minerals Corporation (TSX-V now Belo Sun Mining Corp.) and Global Atomic Fuels Corporation (a private Ontario corporation). Mr. Roman was recently Co-Chairman and Director of Gold Eagle Mines Ltd., which was acquired by Goldcorp Inc. for $ 1.5 billion, the highest price ever paid by a major for a junior gold exploration company. He is currently, Executive Chairman of Exall Energy Corporation, and Chairman, President & CEO of Silvermet Inc., Global Atomic Fuels Corporation and Romex Mining Corporation. Mr. Roman holds a Bachelor of Arts degree from the University of Guelph, Ontario in the field of Geology and Geography. He is a member of Canadian Institute of Mining, Metallurgy and Petroleum and a director of the Advisory Board of the College of Management and Economics at the University of Guelph.
George A. Flach, P.Geo.
Vice President Exploration and Director
Mr. Flach is a Professional Geologist with 25 years experience in the exploration and mining industry. He has been instrumental in the discovery of a number of gold deposits and mines internationally. Mr. Flach is presently Vice President of Exploration for Global Atomic Fuels Corporation and Romex Mining Corporation.
Derek C. Rance, P.Eng., MBA
Director and Member of the Audit Committee
Mr. Rance is a principal of Behre Dolbear & Company Inc. a global mining industry consultancy, previous experience includes President and COO of Iron Ore Company of Canada, Mine Manager at the Dickenson Mine, Red Lake, Ontario and has served on the Board of Directors of a number of public companies including Gold Eagle Mines Ltd. Mr. Rance has over 35 years of experience in the minerals industry, including positions in engineering and management of both large and small mining companies. Mr. Rance specializes in the areas of performance improvement; labor-relations management; sales negotiation for copper, coal, and gold; and raising of private-market capital funding. As well as: management consulting; optimization of mining operations; feasibility studies; strategic planning studies; market analysis; and employee relations programs.
Bernard Kraft, C.A.
Director and Member of the Audit Committee
Mr. Kraft is an independent director of Agnico-Eagle Mines Limited. Mr. Kraft is recognized as a Designated Specialist in Investigative and Forensic Accounting by the Canadian Institute of Chartered Accountants. Mr. Kraft is a retired senior partner of the Toronto accounting firm Kraft, Berger LLP, Chartered Accountants and now serves as a consultant to that firm. He is also a principal in Kraft Yabrov Valuations Inc. Mr. Kraft is a member of the Canadian Institute of Chartered Business Valuators, the Association of Certified Fraud Examiners and the American Society of Appraisers. Mr. Kraft has been a director of Agnico-Eagle since March 12, 1992, and is also a director of Canadian Shield Resources Inc. (a mining exploration company traded on the TSX Venture Exchange), St. Andrews Goldfields Limited (a mining exploration company listed on the TSX) and API Technologies Corp (a leading defense subcontractor in North America listed on the Bulletin Board).
Richard R. Faucher, P.Eng.
Mr. Faucher is a Professional Engineer trained in metallurgical engineering. Mr. Faucher has had extensive experience in the management of large mining and metallurgical projects and has held senior management positions in several large mining companies and metallurgical projects. Mr. Faucher has served as President and CEO of Canadian Royalties Inc., President of Niocan Inc., Vice-President, Brunswick Mining & Smelting, for Noranda Inc.; President and General Manager for Falconbridge Dominicana, a large nickel mine; and President and COO of Princeton Mining Corp., where he was instrumental in completing a $140 million prospectus offering for the Huckleberry Mining Project in British Columbia.
